Coregenesis Web & AI Services is a business division of COREGENISIS INC., a Tennessee corporation. These terms apply to this website and to Web & AI Services unless a written proposal, statement of work, or other signed agreement says otherwise.
Website use
You may use this website for lawful informational and business inquiry purposes. You may not misuse the site, attempt unauthorized access, interfere with its operation, or copy or exploit protected content in violation of applicable law or these terms.
Estimates are not contracts
Prices displayed on the website are starting prices and examples, not binding quotations. Submitting a form, receiving an estimate, or discussing a project does not by itself create a client relationship or obligate either party to proceed.
Project agreements
Paid work begins only after the parties accept the applicable project scope, price, payment terms, and other material terms. A project-specific proposal, statement of work, invoice, or written service agreement may add to or replace portions of these website terms. If there is a conflict, the project-specific written agreement controls for that project.
Scope, revisions, and client responsibilities
Deliverables, revision rounds, timing, and included services depend on the accepted project scope. Work outside scope may require additional time and fees. Clients are responsible for timely approvals, access credentials, accurate business information, and materials they are authorized to provide.
Payment and third-party costs
Payment schedules are stated in the applicable proposal or invoice. Domains, hosting, premium software, stock assets, payment processors, scheduling systems, APIs, AI providers, plugins, and other third-party services may require separate fees and accounts unless expressly included in writing.
Intellectual property
Clients retain ownership of materials they supply, subject to any rights of third parties. After full payment, the client receives the rights in custom final deliverables expressly identified as transferred in the accepted project scope.
COREGENISIS INC. retains ownership of its pre-existing and reusable materials, including templates, frameworks, reusable code, internal systems, workflows, methods, tools, know-how, design systems, and other materials not specifically created and transferred as a custom client deliverable. To the extent such retained materials are embedded in a paid deliverable, the client receives the license reasonably necessary to use the delivered project for its intended purpose. Third-party components remain subject to their applicable licenses.
Client content and permissions
By providing text, logos, photographs, trademarks, data, or other materials, the client represents that it has the rights or permissions reasonably necessary for us to use those materials for the project. The client remains responsible for the accuracy and legality of its business claims, offers, products, and supplied content.
No guaranteed business outcome
Unless expressly stated in a signed agreement, we do not guarantee search-engine rankings, indexing dates, traffic, leads, conversions, revenue, sales, advertising performance, uninterrupted third-party service, or a particular business result.
Third-party platforms
Third-party services are controlled by their respective providers. Their pricing, policies, APIs, availability, account decisions, and functionality may change. We are not responsible for a third party’s independent acts or service changes, though we will use reasonable efforts to perform the services within our control.
Suspension or termination
We may pause work when required client information, approvals, or agreed payments are materially overdue, or when continuing the work would violate law, third-party rules, security requirements, or the accepted project agreement.
Refunds and cancellations
Refund and cancellation treatment depends on the accepted project agreement, the stage of work, completed services, and non-recoverable third-party costs. See our Refund & Cancellation Policy. Nothing in these terms waives rights that cannot lawfully be waived.
Disclaimers and limitation of website information
Website content is general information and may change. Additional limitations concerning AI features, SEO, third-party systems, and professional compliance are described in our Service Disclaimer.
Changes
We may update these website terms prospectively. Changes do not retroactively alter an already accepted project agreement unless the parties agree in writing or applicable law requires otherwise.
